Reporting to the Associate Director, Osler Works – Transactional, focus on due diligence and contract review. Set up and manage deal rooms, draft closing documents, and handle signature collection. Manage closing agendas, electronic closing rooms, disclosure schedules, closing books, and minute books.

This position offers flexibility for those based in Ottawa, Toronto, or fully remote within Ontario. Thrive in a tech-driven environment evaluating and implementing tools to boost efficiency. Perform routine corporate legal work related to transactions.

Requirements

Called to the Ontario Bar (new calls welcome)
Corporate law experience, specifically in M&A, Private Equity, and/or Capital Markets
Prior experience with due diligence, contract analysis, closings, and other routine elements of complex transactions
Proficient using technology and adaptable to change

Responsibilities

Conduct due diligence and contract review
Set up and manage deal rooms
Draft closing documents and manage the collection of signatures
Assist with assembly of disclosure schedules
Manage the closing agenda and the electronic closing room
Prepare and file closing books and update minute books
Assist in the evaluation, selection and implementation of technologies that improve efficiency
Perform other routine corporate legal work relating to transactions
